Agreement

1. Scope of Services

Coach agrees to provide personal training and/or online coaching services as selected by Client at the time of purchase. Services may include:

• Individualized training program design and delivery
• Nutrition and macronutrient guidance
• Progress check-ins and program adjustments
• Supplement recommendations
• Communication and support as outlined in the selected package

Specific deliverables depend on the package purchased and are outlined at the time of sale. Coach reserves the right to modify program structure as needed for Client's safety, progress, and well-being.

2. Client Responsibilities

Client agrees to:

• Follow the program and nutritional guidelines as provided by the Coach to the best of their ability.
• Communicate openly and honestly regarding progress, energy levels, adherence, and any physical issues.
• Provide accurate health history, including any injuries, medical conditions, or medications.
• Attend all scheduled sessions or provide at least 24 hours' notice of cancellation.
• Respect the Coach's time, professional guidance, and intellectual property.

3. Payment

Full payment for the selected package is due prior to the commencement of services. Coach will not begin delivering services until payment is confirmed. Payment constitutes acceptance of these Terms and this Agreement in full.

For online coaching subscriptions billed monthly, Client authorizes recurring charges to the payment method on file until written cancellation is received.

4. No Refund Policy

All payments are non-refundable. Client acknowledges this policy prior to purchase. By submitting payment, Client waives any right to a refund, chargeback, or reversal of funds except as required by applicable law.

5. Health & Medical Clearance

Client represents that they are in good health and have obtained, or will obtain, clearance from a licensed medical professional prior to beginning the program. Client assumes full responsibility for any health-related consequences arising from participation in the program.

6. Assumption of Risk

Client acknowledges that physical training involves inherent risk of injury. Client voluntarily assumes all such risks and agrees not to hold Coach, Bio Cali Performance, or any of their representatives liable for any injury, illness, or other harm resulting from participation — whether in-person or through an online program.

7. Limitation of Liability

To the maximum extent permitted by law, Coach's total liability to Client for any claim arising from these services shall not exceed the total amount paid by Client for the specific service giving rise to the claim.

Coach makes no guarantees regarding specific results. Outcomes depend on Client's adherence, genetics, lifestyle, and other factors outside the Coach's control.

8. Confidentiality

Both parties agree to maintain confidentiality regarding personal information shared during the coaching relationship. Coach will not disclose Client's personal information, progress data, or images without written consent. Client agrees not to share coaching materials, programs, or proprietary content with third parties.

9. Intellectual Property

All training programs, nutrition plans, templates, and other materials provided by Coach are the sole intellectual property of Dan Calicchia / Bio Cali Performance. Client receives a personal, non-transferable license to use these materials for their individual program only. Reproduction, resale, or distribution is strictly prohibited.

10. Termination

Either party may terminate this Agreement with written notice. In the event of termination by Client, no refund will be issued for services already rendered or for remaining unused sessions.

Coach may terminate the Agreement immediately and without refund if Client engages in conduct that is abusive, threatening, or otherwise incompatible with a professional coaching relationship.

11. Entire Agreement

This Agreement, together with the Terms & Policies available atbio-cali.com/terms, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior discussions or representations.

12. Governing Law

This Agreement shall be governed by the laws of the State of New Jersey. Any dispute arising from this Agreement shall be resolved through binding arbitration or in the courts of New Jersey, at Coach's election.
